Terms of Service

1. Eligibility

Access to the Platform is limited to licensed healthcare providers, including physicians, nurse practitioners, physician assistants, and other licensed medical professionals authorized to purchase and administer compounded medications under applicable federal and state law. By registering, you represent and warrant that:

• You hold a valid, active license to practice medicine or a related healthcare profession in your state;
• You are purchasing products for legitimate office use and patient care purposes only;
• You are not purchasing products for resale, personal use, or consumer distribution;
• All information you provide during registration is accurate and complete.

2. Nature of Services

Omigenix LLC is a management services organization (MSO) that provides administrative, operational, and platform services to licensed healthcare providers. Omigenix does not:

• Practice medicine or provide medical advice;
• Dispense, compound, or manufacture pharmaceutical products;
• Take title to or possession of any compounded medications;
• Direct or influence clinical decisions.

All products available through the Platform are compounded and fulfilled by independent FDA-registered 503B outsourcing facilities. Omigenix facilitates the ordering process and administrative infrastructure only.

3. Platform Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You agree not to:

• Share your account credentials with any third party;
• Resell, transfer, or redistribute any products ordered through the Platform;
• Attempt to circumvent any security or access control measures;
• Use the Platform to order products for non-clinical or consumer purposes;
• Contact fulfillment partners directly to bypass the Platform;
• Engage in any conduct that could harm Omigenix, its partners, or other users.

4. Pricing and Payment

All prices displayed on the Platform represent the total amount due at checkout. Prices include all applicable platform, fulfillment, and administrative service fees. Payment is processed securely at the time of order. All sales are final unless otherwise stated in our Refund Policy.

Omigenix reserves the right to update pricing at any time. Continued use of the Platform following any price change constitutes acceptance of the new pricing.

5. Orders and Fulfillment

Orders placed through the Platform are routed to an FDA-registered 503B outsourcing facility for compounding and direct shipment to your practice address. Omigenix is not responsible for:

• Delays caused by the fulfillment facility or shipping carriers;
• Product quality, potency, or sterility — which are the sole responsibility of the compounding facility;
• Orders lost or damaged in transit;
• State licensing restrictions that may prohibit certain products from being shipped to your location.

6. Provider Responsibilities

As a licensed healthcare provider using the Platform, you are solely responsible for:

• Ensuring that your use of compounded products complies with all applicable federal, state, and local laws;
• Obtaining any required patient consents and maintaining appropriate clinical documentation;
• Verifying that products ordered are appropriate for your patients' clinical needs;
• Maintaining your professional licensure in good standing;
• Complying with all applicable DEA, FDA, and state pharmacy board regulations.

7. Intellectual Property

All content, trademarks, logos, and intellectual property on the Platform are owned by Omigenix LLC. You may not reproduce, distribute, or create derivative works from any Platform content without prior written consent from Omigenix.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. OMIGENIX DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. OMIGENIX MAKES NO WARRANTIES REGARDING THE QUALITY, SAFETY, OR EFFICACY OF ANY PRODUCTS ORDERED THROUGH THE PLATFORM.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OMIGENIX LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM OR ANY PRODUCTS ORDERED THROUGH IT. OMIGENIX'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SPECIFIC ORDER GIVING RISE TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Omigenix LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, or expenses (including attorney fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any applicable law or regulation.

11. Non-Circumvention

By using the Platform, you agree not to directly contact, solicit, or enter into any commercial arrangement with any fulfillment partner, laboratory, or supplier introduced to you through the Platform for the purpose of bypassing Omigenix or avoiding Platform fees, during the term of your use and for twelve (12) months following termination of your account.

12. Termination

Omigenix reserves the right to suspend or terminate your access to the Platform at any time, with or without notice, for any violation of these Terms or for any conduct that Omigenix determines, in its sole discretion, is harmful to the Platform, its partners, or other users.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved by binding arbitration in Wyoming.

14. Changes to Terms

Omigenix reserves the right to update these Terms at any time. Updated Terms will be posted on the Platform with a revised effective date. Continued use of the Platform following any update constitutes acceptance of the revised Terms.
